Terms and Conditions for WorldRef Platform

Introduction

SIGNING UP, ACCESSING, BROWSING OR OTHERWISE USING THE PLATFORMS INDICATE YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS HEREIN, SO PLEASE READ THE TERMS OF USE CAREFULLY BEFORE PROCEEDING. By impliedly or expressly accepting these Terms of Use, You also accept and agree to be bound by other Policies as published on the Platform (including but not limited to Privacy Policy, Intellectual Property Policy, General Terms & Conditions of RFQ, Quotation and Purchase Order ), and as amended from time to time.

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, Privacy policy and Terms of Use for access or usage of domain name [www.worldref.co] (hereinafter referred to as “ Platform”).

The Platform is a marketplace ecosystem, developed by WorldRef Technologies Private Limited having its registered office at G-1701, Amrapali Silicon City, Sector-76, Noida, India 201304 and its affiliates, successors and permitted assignees.

The Platform will operate as a B2B marketplace and proposes to offer various services to the marketplace participants inter alia

I. operate as cross-border focussed marketplace for industrial products and services;

II. end to end fulfillment of all orders (including vendor management, quality control, expediting, export import processes, documentation, international and local logistics) through identified service partners; and

III. provide financing options to Platform users through identified financial services partners, along with other Services.

The term "We", "Us" and "Our" shall refer to WorldRef. "You" “Your” or "User" (which expression shall mean to include successors and permitted assigns or partners, designated partners, successors, legal heirs and permitted assigns or successors, legal heirs and permitted assigns, as the case may be) who has accessed the Platform after agreeing with the Terms or has agreed to become a buyer or seller on the Platform by registering on the Platform as “Registered User” (whether incorporated or otherwise).

The terms of use of the Platform shall include all terms and conditions as detailed herein and any other rules, guidelines, policies, terms and conditions, as amended or updated from time to time and published on the Platform (“ Terms & Conditions ”).

The document containing these Terms is an electronic record as envisaged under Information Technology Act, 2000, as amended from time to time, and rules there under, as applicable. This electronic record is generated by a computer system and does not require any.

WorldRef may update these Terms at any time due to changes in laws, regulations, technology, or safety standards. We may, at Our sole discretion, alter, modify, add, or delete the Terms, partly or wholly, at any time, without giving You any notice. We encourage You to review these Terms periodically. Your subsequent visits to the Platform, after Your first count of accessing the Platform and clicking on “I Agree” option, shall mean that You accept and agree to the changes.

Services

The website is a Platform in the form of an electronic international marketplace and an intermediary that;

a. provides a one-stop marketplace for businesses across the world (hereinafter “Buyer/s”) to procure industrial equipment, parts and services from India and other countries.

a. provides a one-stop marketplace for businesses across the world (hereinafter “Buyer/s”) to procure industrial equipment, parts and services from India and other countries.

b. provides a platform for businesses (OEMs / manufacturers / traders / contractors / other service providers, whether incorporated or not)(hereinafter “Seller/s”) to sell the equipment/parts/services as required by the Buyers.

c. provides a platform to the Buyers to manage and track their RFQs and orders online.

d. provides end to end fulfilment of orders to the Buyers as per agreed terms. It encompasses all value added services inter alia, vendor management, quality control, expediting, export import processes, documentation, international and local logistics.

e. provides a platform to the Sellers to manage their profiles, RFQs, quotations, product catalogues, and orders.

f. serves as an intermediary between Buyers and Sellers, managing the fulfillment of obligations for both parties within a closed marketplace.

g. facilitates financing; and

h. such other services as are incidental and ancillary thereto

User Eligibility, Registration, & Account Obligations

The Platform is accessible only to businesses who can enter into legally binding contracts under Indian Contract Act, 1872. We reserve rights to restrict access to the Platform contingent to You providing Us the requested information and documents and successful verification.

As a registered user, You are responsible for all actions taken through Your account. You may be liable for any losses incurred due to unauthorized access resulting from Your failure to keep Your account details confidential. It is Your responsibility to maintain the confidentiality of Your account access details and prevent unauthorized access.

You must immediately bring it to Our notice

I. in case of any unauthorised use of Your account and any other breach of security;

II. in the event You are experiencing technical difficulties/ error/ glitches which may be preventing You from accessing the Platform or the services being provided by Us; or

III. if any discrepancy is observed.

You must provide accurate, complete, and up-to-date personal information during registration and onboarding. If the Platform finds or suspects that any information is inaccurate, incomplete, or outdated, it may permanently suspend Your account and restrict Your access.

If a user registers on behalf of a legal entity, they guarantee they have the authority to do so. All actions taken on the platform are considered to be taken by the legal entity itself. The platform may request documentation to verify authorization. References to a legal entity include its affiliates, successors, and permitted assignees, unless the context suggests otherwise.

Communications

By contacting Our platform via email, instant message, or phone, You consent to receiving electronic or telephonic communication from us. We may communicate with You through email, instant messengers, phone calls, or platform notices as needed.

By registering on Our platform, You consent to receiving communications from Us via email, SMS, instant messengers, and telephone (mobile or landline) for various purposes, including product offers, marketing and advertising, transaction details, order tracking, polls, auctions, surveys, official platform correspondence, and other communications. You also agree that We may share this information with third parties for purposes such as product offers, marketing and advertising, referrals, and business development for Buyers and Sellers on the platform, in accordance with our Privacy Policy .

License to use the Platform

Platform grants You a limited, personal, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely in accordance with these terms and conditions, provided You comply with all applicable Platform policies. This license is valid only while You have a registered account with us.

You expressly undertake not to reverse-engineer, modify, amend, reproduce, republish, translate into any language or computer language, re-transmit in any form or by any means, resell or redistribute the Platform or its contents and features including any collection and use of any product listings, descriptions, prices, derivative use of the Platform or its contents, downloading/ copying of account information for the benefit of another seller, or any use of data mining, robots, or similar data gathering and extraction tools. Any unauthorised use of the Platform by You immediately terminates this license/permission granted by Platform.

Prohibited Uses

By accessing the Platform, You undertake to the Platform that You will not use the Platform for any purpose that is unlawful or prohibited under these Terms. You specifically agree to not use the Platform in any manner:

a. that would damage, disable, or impair the Platform or any of its functionalities and cause disruption to other Users accessing the Platform.

b. Which gives You access to the Platform Account that belongs to another person and to which You do not have any right;

c. that is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating, or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever;

d. that harm minors in any way;

e. that infringes any patent, trademark, copyright, or other intellectual property rights;

f. that violates any law for the time being in force;

g. that deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;

h. that impersonate another person;

i. that contains software viruses, or any other computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer resource;

j. that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting to any other nation;

k. that encourages, promotes, or indulges in gambling or money laundering under the applicable anti-corruption and money laundering laws; and

l. by using any program, software, algorithm, bot, or any manual process to copy or acquire any portion of the Platform or any other material that You are not authorized to access.

m. that threatens public health or safety; promotion of cigarettes or any other tobacco products or consumption of intoxicant including alcohol and Electronic Nicotine Delivery System (ENDS) and like products that enable nicotine delivery except for the purpose and in the manner and to the extent, as may be approved under the Drugs and Cosmetics Act, 1940 and Rules made thereunder;

n. that threatens critical information infrastructure.

If any unauthorized attempts are made to access the Platform, such as hacking user accounts, password mining, web scraping, or any actions that compromise the Platform's security, the Platform reserves the right to pursue legal action.

Product Description & Order Information

While Platform strives to provide accurate product description, images, pricing information, order tracking updates, and other content, the pricing errors or typographical errors may still occur. Platform does not warrant that every Product description or other information information on this Platform is accurate, complete, reliable, up to date, or error-free and assumes no liability in this regard. Buyers must verify all details before proceeding with intended actions. With respect to products listed by Seller on the Platform, the price & delivery time of an item cannot be confirmed until the Buyer has submitted an RFQ and Seller has validated prices and delivery time for the RFQ. Prices and availability are subject to change without notice.

In the event that a product is listed at an incorrect price or with incorrect information due to an error in pricing or product information, Platform shall have the right, at its sole discretion, to refuse delivery or cancel any orders placed for that product, unless the product has already been dispatched. In the event that a product is mispriced, Platform may, at its discretion, either contact the Buyer for instructions or cancel the order and notify the Buyer of such cancellation. The price of a product may vary depending on the price quoted or validated by the Seller.

Payment

The Platform may engage third-party payment service providers (including third-party banking or payment infrastructure providers, payment aggregators, and payment instruments, or any other facility authorized by the Reserve Bank of India) to facilitate payment collection, refunds, and remittance between Buyers and Sellers. Under no circumstances shall We be considered a "payment aggregator" as defined by the Reserve Bank of India's Guidelines on Regulation of Payment Aggregators and Payment Gateways, as amended from time to time.

The Platform is not liable for damages, interests, or claims resulting from delayed or incomplete transactions via third-party payment service providers.

You agree to provide accurate information for purchases on the Platform and warrant that You will only use payment information or instruments that You lawfully own. We are not responsible for declined payments by banks or financial institutions.

We are not responsible or liable for any direct or indirect loss or damage to You arising from Your use of any payment method due to:

1. Lack of authorization for any transaction/s, or

2. Any payment issues arising out of the transaction, or

3. Illegitimacy of the payment methods being used by You, or

4. Decline of transaction for any other reason(s), or

5. Providing wrong payment information provided for the remittance.

6. Providing or failing to correct wrong information in shipment documents when presented for Your approval. .

Fulfillment Of Your Orders

For the purposes of efficient and timely fulfillment of the orders to the Buyer, the Platform shall engage with third party logistic providers and custom house agents for purposes of shipping, end-to-end delivery and custom clearance.

Sellers and Buyers who undertake the logistics and custom clearances as per the agreed INCOTERMS, shall be responsible for any damages or loss caused including but not limited to delays, failure of delivery or return, damages or cost overruns. We bear no liability or responsibility arising on account of such events or otherwise.

Financing Services

The Platform, working with banks and financial institutions, will facilitate transactions on the Platform by offering financing services to You, such as transaction financing and credit facility for Buyers. We will act as a facilitator between You and the onboarded banks and financial institutions for this purpose. The banks and financial institutions may offer financing facilities that are authorized by the Reserve Bank of India for lending and financing purposes, based on the creditworthiness and other criteria of the prospective borrower. We will not be liable or responsible for any breach of agreed terms or disputes between You and the bank and/or financial institutions.

Communication with WorldRef

In the matters related to the transactions through the platform,all the correspondence should be done only on the designated email connect@worldref.co using the authorised email Ids of the entities registered on the platform. The Platform will not be under any obligation to act on any communication sent through any other channel including, but not limited to, SMS, emails to any other email ID including emails sent to employees email IDs etc.

Further, the following shall be treated as valid modes of communication while processing an order on the WorldRef platform.

  • Communication received from the registered email Ids of the transacting entities.

  • Confirmation/concurrence to the terms and conditions using the mobile application or web portal for placement or acceptance of orders.

  • The concurrence could also be in the form of a request to click on a link triggered on WorldRef Deal Management System, Short Messaging Service (SMS), WhatsApp messaging application on the registered mobile numbers or on the registered email IDs.

Third Party Content

General third-party information such as product catalogues, product description and specifications, technology and features, advertisements including videos, images and photographs of the products, links to third party Platforms and other data from external sources are made available on the Platform (hereinafter "Third Party Content"). The provision of Third-Party Content is for general informational purposes only.

You acknowledge that the Third-Party Content provided to You is obtained from sources believed to be reliable or provided by the sellers in the process of advertising, exhibiting and offering to sell the Products on the Platform. All Third-Party Content is provided on an 'As Is' basis. Platform may not own / have the rights and title to any such Third-Party Content, or provide any guarantee with respect to the accuracy, title, merchantability, non-infringement, or fitness for a particular purpose of any Third-Party Content. Platform shall not be held liable for any loss suffered by You based on Your reliance on or use of such Third-Party Content.

User/Customer generated remarks, feedback, and content

By posting any content or material on the Platform, including ratings, comments, reviews, suggestions, or questions, You grant the Platform a non-exclusive, royalty-free, irrevocable, perpetual, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content worldwide in any media, and the right to use the name You submit in connection with such content.

You are responsible for ensuring that any content You upload, post, publish, transmit, or otherwise make available on the Platform is not defamatory and that You either own or have obtained all necessary consents and approvals for its use. You agree that the use of the content does not violate any applicable Platform policies or guidelines and will not harm any person or entity. You also agree to indemnify the Platform against all claims brought by a third party arising from a breach of any of these warranties. The Platform does not endorse or certify any content posted on it and is not responsible or liable for it. Additionally, the Platform reserves the right to disable access to User Content.

Non-Solicitation and Non-Circumvention

Users are prohibited from engaging in advertising or solicitation of other Users on the Platform to buy or sell any products or services, including those related to the Platform or to Us. This includes sending any direct communication, letters, or unsolicited commercial or junk email to other Users, either directly or indirectly. Users are also prohibited from using any information obtained from the Platform to harass, abuse, or harm another person, or to contact, advertise to, solicit, or sell to another person without Our prior explicit consent.

We reserve the right to delete User accounts that are found to be in violation of these terms in order to protect Our Users from such advertising or solicitation. Furthermore, We shall be entitled to the damages arising from such direct solicitation on account of including but not limited to loss of business

Privacy

Safeguarding Your privacy is of paramount importance to us. We recognize that Your personal information is one of our most valuable assets, and we are committed to protecting it in accordance with the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011, as amended.

Your Information, including any sensitive personal information as defined by the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011, will be stored and processed on computers protected by physical and technological security measures, in compliance with the Information Technology Act 2000 and its rules. Our Privacy Policy, available on our platform, details how we manage Your data. If You do not agree with the transfer or use of Your information in this manner, please do not use the platform.

Trademark & Patent Notice

The Platform, Platform logos, and Our domain are registered trademarks in India. Any other trademarks, service marks, and patented processes appearing on this Platform belong to their respective owners and are used solely to reference the goods and services of those merchants/vendors/sellers.

Copyright

All content included on the Platform, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Platform or its content suppliers and is protected by Copyright laws.

Use of Material on the Platform

Any Material on the Platform must not be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way, including by email or other electronic means and whether directly or indirectly and You must not assist any other person to do so.

Without the prior written consent of the owner, modification of the materials, use of the materials on any other Platform or networked computer environment or use of the materials for any purpose other than personal, non-commercial use is a violation of the copyrights, trademarks, and other proprietary rights, and is prohibited.

Intellectual Properties Infringement Notification

WorldRef respects the intellectual property of others and takes all claims of intellectual property infringement seriously. If You believe that Your intellectual property has been infringed, please contact us at connect@worldref.co. Our Intellectual Property Policy is available on the Platform.

Anti-Corruption Laws

You will comply with all applicable laws, statutes, regulations, and codes relating to anti-corruption, anti-bribery, and money laundering (collectively, “Anti-Corruption Laws”). You will not engage in any activity, practice, or conduct which would constitute a breach of any of these Anti-Corruption Laws, or cause Platform to be in breach of such laws.

Indemnification

You agree to defend, indemnify and hold harmless Platform, Us, Our parents, affiliates, licensees and Our respective directors, officers, employees and agents for, from and against all liabilities, claims, levy of whatsoever name called, damages without limiting to product related issue pertaining to quality, quantity and condition, delay in delivery of product all expenses including attorneys' fees, arising out of or in connection with Your use of the Platform, action or any proceedings initiated by any authority (judicial or any regulatory authority on account of any act/omissions on Your part, or any sort of inactions or Your violation or alleged violation of the Terms , as listed on the Platform.

Disclaimer

You hereby expressly acknowledge and undertake that You are accessing the Platform and transacting solely at Your own risk and are using Your best judgment before entering into any transaction through the Platform. We shall neither be liable nor responsible for any actions or inactions of the buyers, sellers or other affiliate service providers, nor any breach of conditions, representations or warranties made by them.

Limitation of Liability

You agree that Platform, Us or our Affiliates, associates, partners and directors, staffs, officers, employees, agents, and other representatives shall not be liable for any direct, indirect, incidental, consequential, exemplary, tangible, or intangible losses or punitive damages or any other damages of any kind arising out of (including but not limited to):

a. Your use or failure to use this Platform and services provided by it;

b. Obtaining of substitute products or services, identical or not, at a lesser price;

c. Any action or representation of any third party;

d. Any program and related matter related to the Platform, services and materials hosted by WorldRef;

e. Any violation of Anti-Corruption Laws by You or a third party in association with You;

f. Your availing of services of Logistics Service Provider, Financial Service provider or any service provider whose services are made available through Platform; and

g. Your availing of Services through the Platform irrespective of verification and bona fides of the Buyer/Seller.

Viruses and Malwares

While we make every effort to prevent the transmission of viruses and other malware through our platform, the risk of infection remains. Please be aware that Your system may be contaminated, and it is Your responsibility to scan the platform and any downloaded material for viruses. We are not liable for any damages caused by malware, even if it originated from our platform. You are responsible for all costs associated with repairing and cleaning Your system from any malware.

Termination

The Platform reserves the right to change, discontinue, modify, restrict, suspend, or terminate the Platform or any part of it at its discretion and without notice or liability. Additionally, the Platform may, at any time and without notice or liability, terminate or restrict Your permission to access and use the Platform, temporarily or permanently.

If Your access or use all or any part of the Platform is terminated for any reason, then these Terms will continue to apply and be binding upon You in connection to Your prior access to and use of the Platform, and anything connected with therefrom.

Term

The terms will continue to apply until terminated by either You or Platform as set forth below. If You want to waive Your obligations, representations, and undertakings You have made to Platform, You may do so by

i. not accessing the Platform; or

ii. closing Your Account for all of the Services that You use.

Principal to Principal Relationship

The Platform and User have entered into this agreement on a principal-to-principal basis. The Platform does not have the right to enter into any sales or purchase contracts for Products on behalf of the User.

Nothing in these Terms, or other policies published by Us on the Platform or entered into by and between Us and the User, shall be deemed to constitute, create, give effect to or otherwise recognize a partnership, agency, joint venture, formal business entity of any kind, fiduciary relationship, or similar relationship among the parties. The rights and obligations of the parties are limited to those expressly set forth herein.

Grievance Officer

In compliance with Information Technology Act, 2000 and the rules made thereunder, in the event any User has any questions, feedback, comments, complaints and requests regarding these Terms, such respective User may address the same to the designated grievance officer in respect of the Platforms.

Any complaints or concerns with regards to any content on the Platform or any breach of the Terms can be directed to the Grievance Officer, Mr. Divyanshu Shukla in writing having email address connect@worldref.co and for any correspondence You can write to WorldRef Technologies Pvt Ltd., G-1701, Amrapali Silicon City, Sector-76, Noida, UP - 201304

Representations and Warranties of the Seller

At all times, the Seller represents, warrants, and covenants the following:

1. The Seller shall not sell a product that is prohibited to be sold under the applicable national/international laws.

2. The Seller shall ensure that its Representatives provide true, correct, updated and accurate profile information and supporting documents on the Platform.

3. The Seller shall ensure that its Representatives provide true, correct, and accurate description of all the products being sold on the Platform by the Seller or its agents.

4. The Seller shall ensure and obtain all the requisite authorisations, approvals and consents to sell, promote, engage in and deal on the Platform involving any products owned by third party brands.

5. The Seller shall ensure that all the products being sold, promoted, and enlisted on the Platform are genuine and up to the industry standards.

6. The Seller shall ensure that the Seller is not infringing any copyright, trademark, trade license and patents or any rights of similar nature of any third party or Platform.

7. Seller shall not host, display, upload, modify, publish, transmit, update, or share any information or share/list(s) any information that

a. belongs to another person and to which You do not have any right to;

b. grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; or unlawfully threatening or unlawfully harassing including but not limited to "indecent representation of women" within the meaning of the Indecent Representation of Women (Prohibition) Act, 1986;

c. harm minors in any way;

d. infringes any patent, trademark, copyright, or other proprietary rights or third party’s trade secrets or rights of publicity or privacy or shall not be fraudulent or involve the sale of counterfeit or stolen items. of third parties that it feels may be of interest to the user or if the user has shown interest in the same;

e. violates any law for the time being in force;

f. deceives or misleads the addressee/ users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;

g. impersonate another person;

h. Contains software viruses or any other computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer resource; or contains any Trojan horses, worms, time bombs, or other computer programming routines that may damage, detrimentally interfere with, diminish value of, surreptitiously intercept or expropriate any system, data, or personal information;

i. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation;

8. You shall be solely liable for all compliances required under applicable national/international laws.

Additional Conditions

We have the right to transfer any rights and obligations outlined in these Terms, as well as those in any incorporated documents, to a third party in the event of a merger, acquisition, or other change in control. This transfer can occur without prior notice, approval, or consent from You.

All notifications will be sent to the email address provided during Your Platform sign-up. These notifications are considered received once the email is sent, unless we are notified that the email address is invalid or not functioning.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. You agree that any action at law or in equity arising out of or relating to these terms and conditions shall be filed only in the exclusive jurisdiction of the Courts at Delhi.

This Platform is controlled, operated, and administered from offices within India. The Platform makes no representation that materials on this Platform are appropriate or available for use at locations where their contents are illegal or prohibited. You may access this Platform, however You are responsible for compliance with all applicable international and local laws.

Waiver

The Platform, Us, or Our affiliates' failure, delay, or omission to act against any breach of these Terms by You does not waive Our right to act against that breach or any other breach.

Severability

Should any part of this agreement be deemed invalid or unenforceable under applicable law, including but not limited to the warranty disclaimers and liability limitations outlined above, then that invalid or unenforceable provision will be replaced with a valid, enforceable provision that best reflects the intent of the original provision. The rest of the agreement shall remain in effect.

Complete Agreement

These Terms of Platform represent the entire understanding relating to the use of the Platform and supersede any prior or contemporaneous, conflicting, or additional communications. They are coextensive and concurrent with the other terms and conditions, including the Privacy Policy, IP Policy, and the specific General and Special Terms and Conditions of RFQ, Quotation, and Purchase Order available on the WorldRef platform.

Conflict

In the event of any conflict or inconsistency between these Terms of Use and document specific Terms (GTCs and STCs of RFQ, Quote, PO), the document specific terms shall prevail.

Force Majeure

WorldRef has implemented a robust system to quickly and efficiently identify and remove listings or content that violate IP rights in order to minimize the occurrence of counterfeit products and IP infringement. WorldRef encourages all stakeholders to assist in our mission to eliminate intellectual property violations and create a trusted marketplace where only genuine products are sold and fair competition thrives.

IP Infringement Information

WorldRef does not make decisions concerning the validity of any IP infringement or violation claim, while we ask all users to help in identifying and removing infringing or violating listings/products. As an intermediary and facilitator, any action taken by WorldRef in accordance with the prevailing law and regulation should not be interpreted as an affirmation of any IP infringement/violation claim, and we uphold the principles of neutrality and non-interference.

If Your IP was infringed/violated on the WorldRef Platform, You may submit an Intellectual Property Infringement Information Form (“IPII Form”). Before notifying us about the infringement/violation, please note the following:

Eligible Information

a. Only the IP Right Owners ( sellers, buyers or third parties owning the IP in question) or their duly authorized agent may file an IPII Form.

b. The IPII Form can be submitted in relation to one product or content listing.

Ineligible Information

a. Distribution Rights: >WorldRef Platform will not intervene in distribution channel control disputes or verify a seller’s authorization to sell a brand’s products within a specific region.

b. Legitimate Transactions: If a seller offers a genuine product that hasn't been significantly altered and was obtained legally, You cannot challenge or control the sale, even if it's unauthorized by You.

c. Compatibility Claims: WorldRef Platform doesn't address compatibility claims. If a seller uses accurate statements about their product's compatibility with Your brand, it's not considered a violation under our system.

d. One-to-One Replacement: WorldRef Platform doesn't investigate the origin or authenticity of a seller’s technical knowledge, including designs and documentation. If a seller provides a one-to-one replacement and accurately declares all necessary technical details for a legitimate sale, it doesn't violate this policy.

Seeking legal advice

Misrepresenting information to WorldRef Platform could result in legal action. The IPII Form should only be used for its intended purpose and must not be used to stifle competition or unfairly limit other sellers. If You are unsure of Your rights, please seek legal counsel.

Actions taken by the WorldRef Platform

Violations of this Policy may result in inter alia, product/content delisting, temporary selling suspensions, and/or permanent account closure. However, specific actions are confidential. Upon proper and successful reporting of a claim of IP infringement/violation, WorldRef will evaluate and act as per internal process and relevant legal procedure, under intimation to You.
